Anthropic Commits 5% of Its Shares to a Public Benefit Fund

The AI company says the fund can't be used for lobbying. Stockholders still have to approve it, and the rules for running it are not out yet.

Anthropic, the company that makes the Claude AI assistant, said Oct. 18 that it will commit 5% of its shares to a new public benefit fund. The commitment is "subject to stockholder approval," so that vote still has to happen.

The share can grow. The board can add 2% for every 50% increase in the company's value above a set baseline, at its discretion. The announcement does not say what the baseline is.

How the fund is set up

The fund will be a wholly-owned LLC, meaning a company the AI maker owns outright. The company said that structure gives it flexibility between forms of giving. The fund could make large donations to traditional nonprofits or make direct distributions to specific groups of people.

One limit is written into the announcement: "None of the Anthropic equity held by the LLC will be used for lobbying or political giving, in the US or abroad."

Jobs and AI

The job market is one place the fund could be used. The company said it has already committed $200 million to studying and addressing labor market impacts, and described that as a separate commitment.

Pledges that came before

The fund builds on earlier commitments. The co-founders pledged to donate 80% of their equity holdings when the company was founded. It also runs an equity donation match program, in which employees can pledge equity and the company matches it. About half of employees take part.

With the founders' pledge and the employee matching, roughly 20% of shares will go to the public good, plus any added percentage as the company's value rises, the company said. That total is its own figure.

Most of its mission work stays inside the company and is separate from the fund. That includes AI safety and interpretability research, applied biomedical research and nonprofit discounts on Claude.

What is not known yet

"In the coming months," the company said, it will share more about the fund's structure and governance. The announcement does not give a dollar value for the 5%, name the baseline for the extra 2%, or say when stockholders will vote. A public benefit report on progress is also coming.

Everything above comes from the company's own announcement and describes its plan. The details are its claims, and WECU News did not find independent confirmation of the stockholder vote or the fund's structure.
